These Terms of Use (“Terms”) govern access to and use of the Boss Clinician website, educational programs, memberships, coaching services, executive advisory services, digital resources, and related content provided by Boss Clinician, LLC (“Boss Clinician,” “Company,” “we,” “us,” or “our”).
Please read these Terms carefully before purchasing or participating in our services.
1. Acceptance of Terms
By accessing our website, purchasing a product, enrolling in a membership or program, creating an account, or using our services, you agree to these Terms and any applicable program-specific agreement.
Where affirmative acceptance is required, your agreement will be recorded during the checkout or enrollment process.
If you do not agree to these Terms, please do not purchase or use our services.
Relationship to Program-Specific Agreements
Certain Boss Clinician offerings have additional membership, coaching, or executive advisory agreements.
If an express conflict exists between these Terms and an applicable program-specific agreement accepted by the participant, the program-specific agreement controls the relevant program's fees, payment obligations, services, cancellation, and refund conditions, except where prohibited by applicable law.
All other provisions of these Terms remain applicable unless expressly superseded.

Additional Educational Products and Trainings
Boss Clinician may offer standalone courses, workshops, continuing education programs, templates, guides, retreats, and other products subject to their applicable terms.
Actual services, access periods, deliverables, and participation requirements are determined by the specific offer purchased.
We may update or improve our services, subject to applicable agreements and legal requirements. Material changes affecting an active member's purchased benefits will be handled with appropriate notice and in accordance with the applicable agreement.
3. Eligibility and Professional Responsibility
Participants must be at least 18 years old and legally capable of entering into an agreement.
Our programs are intended for eligible mental health clinicians, practice owners, and related professionals as described on each enrollment page.
Participants are responsible for maintaining applicable professional licenses, registrations, credentials, business licenses, insurance coverage, and compliance with professional and regulatory requirements.
Participation in a Boss Clinician program does not establish or verify professional licensure, credentialing, or eligibility to provide clinical services.
4. Enrollment, Payment, Billing, and Renewals
Pricing, billing frequency, program duration, installment obligations, and membership benefits will be disclosed during enrollment.
Depending on the program, payment arrangements may include one-time purchases, monthly or annual subscriptions, or fixed-term installment plans.
Recurring Memberships
Where recurring billing applies, the member authorizes the disclosed recurring charges according to the accepted payment terms.
Recurring memberships continue until canceled in accordance with the applicable membership agreement.
Members will receive required billing and renewal disclosures before enrollment.
Fixed-Term Programs and Installment Plans
A fixed-term program purchased through installments may create a payment obligation for the full program price, rather than a cancelable monthly subscription.
Any such obligation must be expressly disclosed and accepted in the applicable program enrollment agreement.
Stopping participation does not automatically eliminate a valid outstanding installment obligation, subject to the agreement and applicable law.
Pricing Changes
Price changes affecting existing recurring memberships will be communicated in advance as required by applicable law and the member's agreement.
Founding or promotional pricing applies according to the specific terms of the offer. If a member cancels and later reenrolls, then-current pricing may apply unless otherwise promised.
Failed Payments
If a payment fails, Boss Clinician may contact the member to update payment information and may suspend access when permitted by the applicable agreement and law.
5. Membership Cancellation
Members may request cancellation of recurring memberships through their account cancellation feature, where available, or by contacting:
Cancellation prevents future recurring charges once effective under the applicable membership terms.
Cancellation does not automatically result in a refund of payments already made.
Unless an applicable agreement or law states otherwise, members who cancel outside an eligible refund period may retain access through the end of their paid billing period.
Cancellation of a recurring membership is different from withdrawal from a fixed-term coaching or advisory program. Fixed-term participants must refer to their signed enrollment agreements for applicable obligations.
Members should export or download their personal planning materials and available reports before their access ends.
6. Refund Policy
The Lounge and Lounge VIP — 7-Day Money-Back Guarantee
New members purchasing The Boss Clinician Lounge or Lounge VIP may request a full refund within seven calendar days of their initial membership purchase.
The refund window begins when the initial payment is processed.
To request a refund, email support@bossclinician.com within the seven-day period.
This is a paid membership with an initial purchase refund guarantee, not a free trial.
Eligible members do not automatically forfeit the initial refund guarantee solely because they accessed the membership portal, viewed course lessons, downloaded materials, completed assessments, or participated in an included VIP service.
When an eligible full refund is processed, corresponding membership access will be terminated.
The initial refund period does not restart with recurring membership renewals.
After the seven-day period, membership charges are generally nonrefundable except where required by applicable law.
The Club
Refunds, withdrawal, payment obligations, and any program-specific guarantees for The Club are governed by the accepted Club Enrollment Agreement and the offer terms disclosed at purchase.
No Lounge refund guarantee automatically applies to The Club.
The Boardroom
Refunds, early termination, installment obligations, and other financial provisions for The Boardroom are governed by the accepted Boardroom Executive Advisory Agreement.
No Lounge refund guarantee automatically applies to The Boardroom.
Standalone Courses and Products
Standalone courses, digital products, continuing education programs, and other purchases are subject to the refund policy disclosed for the specific product at checkout.
Applicable legal rights remain unaffected by any policy provision that cannot lawfully exclude them.
7. Intellectual Property and Use of Materials
All original Boss Clinician educational materials, including courses, frameworks, videos, workbooks, assessments, dashboards, scripts, templates, guides, and downloadable resources, remain the intellectual property of Boss Clinician, LLC or their respective rights holders.
Purchasing a membership or product grants a limited, nonexclusive, nontransferable right to access and use the included materials according to the purchased offer.
Permitted Use of Customizable Templates
Where a resource is expressly identified as a customizable business template, members may adapt it for use within their own private practice or organization.
This may include adapting designated SOP templates, job descriptions, interview forms, onboarding documents, and business planning resources for internal operational purposes.
This permission does not authorize resale, public redistribution, publication of the original templates, or incorporation of Boss Clinician materials into a competing educational or commercial product.
Prohibited Uses
Members may not:
- Resell, redistribute, or publicly upload Boss Clinician materials.
- Share account access or distribute purchased resources to unauthorized individuals.
- Repackage the materials for sale, licensing, or inclusion in competing courses or memberships.
- Remove proprietary notices from materials being distributed without authorization.
- Record, reproduce, or commercially exploit private coaching sessions without permission.
Members are responsible for ensuring any customized employment, clinical, financial, or operational materials comply with applicable requirements before implementation.
Suspected intellectual property violations may result in appropriate account restrictions or other remedies, subject to applicable agreements and law.
8. Community Conduct
Boss Clinician communities are intended to support respectful professional discussion, business learning, and collaboration.
Members agree to:
- Communicate respectfully with other members and program representatives.
- Avoid harassment, discrimination, threats, or abusive conduct.
- Respect the privacy and confidentiality of other participants.
- Avoid unauthorized solicitation, advertising, or selling to other members.
- Refrain from sharing copyrighted membership resources outside authorized channels.
- Avoid uploading client-identifying information or protected health information.
Boss Clinician may moderate community spaces and address conduct violations.
Depending on the severity of the conduct, actions may include warnings, restricted participation, removal from community spaces, or membership termination, consistent with applicable agreements and law.
9. Confidentiality and Privacy
Participants may discuss business challenges, finances, staffing, leadership decisions, and practice operations during coaching sessions or community activities.
Members agree not to disclose another participant's confidential business information outside the relevant group or session without permission.
However, peer coaching and group discussions cannot guarantee absolute confidentiality because other participants are independent individuals.
Boss Clinician cannot guarantee that another participant will comply with confidentiality expectations.
Client Information
Participants must not upload, post, or disclose client-identifying information or protected health information through Boss Clinician courses, dashboards, assessments, community discussions, or business coaching activities.
Clinical examples should be sufficiently de-identified and used only when appropriate.
Member Business Information
Assessments and dashboards may collect business information, including financial or operational metrics.
Access to member-specific information will be subject to applicable account permissions, privacy practices, and platform capabilities.
Additional information concerning collection, use, storage, and protection of personal information is provided in our separate Privacy Policy.
10. VIP Services and Submissions
Lounge VIP and other enhanced membership tiers may include individualized business coaching, assessments, feedback opportunities, or additional support.
The exact number, frequency, timing, and format of these benefits are determined by the member's applicable offer and enrollment agreement.
VIP services do not include unlimited one-on-one coaching, unlimited document review, legal representation, HR consulting, accounting services, or done-for-you business implementation unless expressly included in writing.
Where submission or review limits apply, those limits will be disclosed in the applicable VIP offer.
Unused benefits, scheduling restrictions, rescheduling procedures, and expiration rules will follow the accepted VIP terms.
11. Continuing Education Credits
Boss Clinician, LLC is approved by the National Board for Certified Counselors as an Approved Continuing Education Provider (NBCC ACEP No. 7998).
Only specific trainings designated as eligible for continuing education credit carry those credits.
Purchasing a Boss Clinician membership does not automatically entitle a participant to continuing education credit for all membership activities.
Participants are responsible for verifying whether a specific training meets their applicable licensing board's continuing education requirements.
Where applicable, credit eligibility may depend on completion of designated learning activities, attendance requirements, evaluations, or other program-specific criteria.
Certificates are issued according to the published requirements of each eligible training.
Continuing education-related accommodations, grievances, refunds, cancellations, and certificate policies are addressed in our separate Continuing Education Program Policies.
12. No Clinical, Legal, Tax, Accounting, or Financial Advice
Boss Clinician provides business education, coaching, and strategic advisory services.
Participation does not establish a psychotherapy, clinical supervision, legal, accounting, tax advisory, investment advisory, or other licensed professional relationship.
Business tools, financial calculations, hiring scenarios, compensation examples, and educational templates are provided for planning and informational purposes.
Participants are responsible for reviewing business decisions with qualified professionals when appropriate.
This includes consulting employment counsel, licensed accountants, tax professionals, healthcare attorneys, clinical compliance specialists, and other appropriate advisors.
13. Earnings and Business Results Disclaimer
Boss Clinician does not guarantee specific income, client volume, profit margins, reimbursement increases, staffing outcomes, business valuations, or financial results.
Examples, testimonials, projections, and case studies are illustrative and do not guarantee a particular outcome.
Business results depend on numerous factors, including implementation, market conditions, operational expenses, staffing, payer arrangements, individual business decisions, and circumstances outside Boss Clinician's control.
Dashboard calculations and scenario models are decision-support tools based on information entered or supplied by the user.
Participants should independently verify data and assumptions before acting on financial or operational recommendations.
14. Limitation of Liability
To the fullest extent permitted by applicable law, Boss Clinician, LLC and its owners, employees, contractors, and representatives shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of the Services.
This includes, where legally permitted, losses associated with business interruption, lost income, lost profits, or lost business opportunities.
To the extent permitted by law, Boss Clinician's aggregate liability arising from a claim related to the Services shall not exceed the amounts paid by the claimant to Boss Clinician during the 12 months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability or limits rights where doing so is prohibited by applicable law.
15. Indemnification
To the extent permitted by applicable law, participants agree to indemnify and hold harmless Boss Clinician, LLC and its owners, employees, and contractors from third-party claims arising from the participant's unlawful conduct, infringement of another party's rights, unauthorized redistribution of materials, or material violation of these Terms.
This provision does not apply to the extent a claim results from Boss Clinician's own conduct for which indemnification would be prohibited by law.
16. Modifications to Terms and Services
Boss Clinician may update these Terms to reflect operational, business, technology, or legal changes.
Where required, material changes will be communicated through email, member account notifications, or other appropriate methods.
Updated Terms will identify their effective date.
Changes will not retroactively eliminate applicable contractual rights or refund obligations without appropriate legal basis.
Where affirmative consent is required for a change, Boss Clinician will obtain it before enforcing the change.
17. Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Nothing in this provision eliminates nonwaivable consumer protections or other mandatory legal rights that apply to a participant.
Additional dispute-resolution provisions, if any, will be specified in an applicable program agreement.
